Welcome to BeautyDex.

These Terms of Use (“Terms”) govern your access to and use of the BeautyDex website, mobile application, platform, and related services (collectively, the “Services”).

BeautyDex (“BeautyDex,” “we,” “us,” or “our”) provides a platform that helps customers discover beauty looks, find independent beauty professionals, and book beauty services.

By accessing or using BeautyDex, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 13 years old to create a customer account or use BeautyDex.

If you are under the age of majority where you live, you should use BeautyDex with the permission and involvement of a parent or legal guardian. Certain transactions, services, or features may require the involvement or authorization of a parent or guardian where required by law.

You must be at least 18 years old and legally capable of entering into a binding agreement to create or operate a BeautyDex professional account or offer services through BeautyDex.

By using BeautyDex, you represent that you meet the eligibility requirements applicable to your account.

2. BeautyDex Is a Marketplace

BeautyDex provides technology that connects customers with independent beauty professionals (“Pros”).

BeautyDex does not itself provide the beauty services listed or booked through the platform unless expressly stated otherwise.

Pros are independent service providers and are not employees, agents, partners, franchisees, or representatives of BeautyDex.

BeautyDex does not control the manner in which a Pro performs a beauty service and does not guarantee the quality, safety, legality, suitability, availability, or outcome of any service.

Customers are responsible for determining whether a particular Pro or service is appropriate for them.

3. Accounts

Certain BeautyDex features may require an account.

You agree to provide accurate, current, and complete information and to keep your information reasonably up to date.

You are responsible for maintaining the confidentiality of your account credentials and for activity occurring through your account.

You may not impersonate another person, create an account using false or misleading information, or allow another person to use your account in a manner that violates these Terms.

Notify BeautyDex at hello@beautydex.app if you believe your account has been accessed or used without authorization.

4. Professional Accounts

Pros are responsible for maintaining accurate information about their businesses and services, including:

• Services offered
• Pricing
• Availability
• Service duration
• Service locations
• Booking requirements
• Cancellation policies
• Portfolio content
• Qualifications or credentials represented on their profiles

Pros are responsible for obtaining and maintaining any licenses, registrations, permits, certifications, insurance, or other authorizations required by applicable law for the services they provide.

BeautyDex may review professional applications and may approve, reject, suspend, or remove professional accounts in accordance with these Terms and our marketplace policies.

Acceptance onto BeautyDex does not constitute an endorsement, certification, or guarantee by BeautyDex of a Pro or the services they provide.

5. Bookings

Customers may use BeautyDex to request or book services offered by Pros.

Before completing a booking, customers are responsible for reviewing the service description, price, location information, appointment details, applicable deposit, cancellation policy, and other requirements displayed during booking.

A booking may be subject to availability and any additional requirements disclosed by the Pro.

Customers agree to provide accurate information necessary to complete and manage their appointments.

6. Pricing and Payments

Pros establish the prices of the services they offer unless BeautyDex expressly indicates otherwise.

BeautyDex facilitates payments associated with bookings through the platform.

A booking may require a deposit at the time of booking. BeautyDex currently uses a standard deposit equal to 20% of the service price, unless a different amount or structure is clearly disclosed before the customer confirms the booking.

The remaining balance for a service may be collected through BeautyDex according to the booking and payment flow presented to the customer.

By submitting a payment, you authorize BeautyDex and its payment-processing providers to charge the applicable amount using your selected payment method.

Payment processing may be performed by third-party payment providers and may also be subject to their terms and privacy practices.

7. Deposits and Pro Cancellation Policies

Each Pro may establish their own cancellation policy, subject to BeautyDex's minimum marketplace requirements and applicable law.

Customers are responsible for reviewing the Pro's cancellation policy before confirming a booking.

Whether a customer's deposit is refundable following a customer-initiated cancellation will be determined by the cancellation policy disclosed by the Pro at the time of booking.

A Pro may not use their individual cancellation policy to override protections expressly established by BeautyDex in these Terms.

BeautyDex may preserve a record of the cancellation policy applicable when a booking is made so that subsequent changes to a Pro's policy do not retroactively alter an existing booking.

8. No-Shows

If a customer fails to attend a scheduled appointment without properly cancelling it in accordance with the applicable cancellation policy, the customer will forfeit the deposit associated with that booking.

Additional consequences for repeated no-shows may include account restrictions or suspension where reasonably necessary to protect Pros and the marketplace.

9. Cancellations by Professionals

If a Pro cancels a confirmed appointment, the customer will receive a refund of amounts paid toward that booking through BeautyDex, including the deposit, subject to any limitations required by applicable law or the payment processor.

A Pro's individual cancellation policy cannot eliminate this protection.

Repeated or abusive Pro cancellations may result in reduced marketplace visibility, account restrictions, suspension, or removal from BeautyDex.

10. Refunds and Disputes

BeautyDex may review disputes involving bookings, payments, cancellations, refunds, no-shows, or other activity occurring through the platform.

BeautyDex may issue or facilitate refunds, payment adjustments, account credits, or other remedies when we reasonably determine they are appropriate under these Terms, the applicable booking terms, marketplace policies, or law.

BeautyDex does not guarantee that it will resolve every disagreement between a customer and Pro and is not responsible for determining subjective satisfaction with the outcome of a beauty service.

Nothing in this section limits rights or remedies that cannot legally be limited.

11. BeautyDex Fees and Professional Payouts

BeautyDex may charge Pros a platform fee or other fees for transactions completed through the Services.

Unless otherwise disclosed, BeautyDex's standard platform fee is 10% of the completed service price.

Eligible Founding Pros receive a reduced 5% platform fee rate for their first year under the applicable Founding Pro offer.

Any promotional, introductory, Founding Pro, or reduced-fee terms may be subject to eligibility requirements communicated when the offer is made.

Applicable BeautyDex fees may be deducted before amounts are paid out to the Pro.

Payout timing may depend on completion of the service, payment processing, fraud or risk review, disputes, refunds, banking processing times, or other reasonable operational requirements.

BeautyDex may delay, withhold, reverse, or adjust a payout when reasonably necessary to address a refund, chargeback, suspected fraud, payment dispute, violation of these Terms, or other legitimate payment issue, subject to applicable law.

12. Off-Platform Transactions and Fee Avoidance

BeautyDex invests resources in helping customers discover and connect with Pros.

Pros may not use BeautyDex primarily to acquire customers and then intentionally direct those customers away from BeautyDex to complete a booking or payment for the purpose of avoiding BeautyDex fees or platform protections.

Customers and Pros may not manipulate, circumvent, or interfere with BeautyDex's payment or booking systems to avoid applicable charges.

BeautyDex may restrict, suspend, or terminate accounts engaged in deliberate fee avoidance or circumvention.

This provision does not prevent a Pro from conducting legitimate business independently of customers and bookings obtained through BeautyDex.

13. Professional Responsibility and Service Safety

Pros are solely responsible for the beauty services they perform.

This includes responsibility for:

• Performing services professionally and safely
• Following applicable sanitation and hygiene requirements
• Maintaining appropriate equipment and facilities
• Following applicable licensing and regulatory requirements
• Assessing whether a requested service can be performed safely
• Communicating relevant service requirements or risks
• Maintaining any insurance required by law or appropriate to their business

Customers are responsible for communicating relevant allergies, sensitivities, conditions, or other information that may reasonably affect the safe performance of a service.

BeautyDex does not provide medical advice and does not determine whether a beauty treatment is medically appropriate for a particular customer.

14. Portfolio Images and User Content

BeautyDex may allow users to submit photographs, portfolio images, reviews, profile information, text, and other materials (“User Content”).

You retain ownership of User Content you own.

By uploading or submitting User Content to BeautyDex, you represent that you own the content or have all permissions, licenses, and rights necessary to use and submit it.

You grant BeautyDex a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, format, adapt, distribute, and otherwise use your User Content as reasonably necessary to operate, improve, market, and promote BeautyDex and the Services.

This license includes permission for BeautyDex to feature eligible public portfolio content and professional profile content in BeautyDex-owned marketing, promotional materials, social media, platform features, and discovery experiences.

BeautyDex does not obtain ownership of your User Content solely because you upload it.

You may not upload content that:

• Infringes another person's intellectual property rights
• Violates privacy or publicity rights
• You do not have permission to use
• Is fraudulent or intentionally misleading
• Is unlawful, threatening, abusive, or harassing
• Contains malicious software or harmful code
• Otherwise violates these Terms or BeautyDex policies

BeautyDex may remove or restrict User Content that violates these Terms or applicable law.

15. Reviews

BeautyDex may allow customers to submit ratings, reviews, or other feedback about Pros and services.

Reviews should reflect genuine experiences and must not be fraudulent, manipulated, threatening, discriminatory, harassing, irrelevant, or otherwise abusive.

Pros may not purchase, fabricate, improperly incentivize, or manipulate reviews.

BeautyDex may investigate, restrict, or remove reviews that we reasonably believe violate these Terms or our policies.

BeautyDex does not guarantee the accuracy of reviews submitted by users.

16. Acceptable Use

You may not use BeautyDex to:

• Violate applicable law
• Commit or facilitate fraud
• Harass, threaten, stalk, discriminate against, or abuse another person
• Impersonate another person or business
• Submit false or misleading information
• Interfere with the operation or security of the Services
• Attempt unauthorized access to accounts, systems, or data
• Scrape, harvest, or systematically extract BeautyDex data except as permitted by law or expressly authorized by BeautyDex
• Introduce malware or harmful code
• Manipulate bookings, payments, reviews, rankings, or marketplace features
• Circumvent BeautyDex fees or payment systems
• Use BeautyDex in a manner that could harm users, Pros, BeautyDex, or the integrity of the marketplace

17. Intellectual Property

BeautyDex and its associated software, branding, design, interfaces, logos, graphics, text, and other materials created by or for BeautyDex are owned by BeautyDex or its licensors and are protected by applicable intellectual property laws.

Except for rights expressly granted under these Terms, use of the Services does not grant you ownership of BeautyDex intellectual property.

You may not copy, reproduce, distribute, modify, sell, license, or commercially exploit BeautyDex intellectual property except with our permission or as permitted by law.

18. Copyright and Intellectual Property Complaints

BeautyDex respects intellectual property rights.

If you believe content available through BeautyDex infringes your copyright or other intellectual property rights, contact us at hello@beautydex.app with sufficient information for us to identify and evaluate the material and your claim.

We may remove or restrict access to allegedly infringing content where appropriate and may take action against accounts that repeatedly violate intellectual property rights.

19. Suspension and Termination

BeautyDex may restrict, suspend, or terminate an account when we reasonably believe the account or user has:

• Violated these Terms
• Engaged in fraud or payment abuse
• Created material safety concerns
• Harassed or threatened another user
• Repeatedly failed to honor bookings
• Manipulated reviews or marketplace systems
• Submitted fraudulent professional information or portfolio content
• Attempted to avoid BeautyDex fees improperly
• Violated applicable law
• Otherwise created material risk to BeautyDex, its users, or the marketplace

Where appropriate, BeautyDex may consider the severity, frequency, and circumstances of the conduct before taking action.

Termination does not eliminate payment obligations, disputes, liabilities, or other provisions that by their nature should survive termination.

20. Privacy

Your use of BeautyDex is also subject to the BeautyDex Privacy Policy.

The Privacy Policy explains how we collect, use, disclose, and protect personal information.

21. Third-Party Services

BeautyDex may rely on or integrate with third-party services, including payment processors, hosting providers, mapping providers, communications providers, and other technology services.

BeautyDex does not control third-party services and is not responsible for their independent acts, availability, policies, or practices.

Your use of certain third-party services may be subject to additional terms imposed by those providers.

22. Service Availability and Changes

We work to provide a reliable service, but we do not guarantee that BeautyDex will always be available, uninterrupted, secure, or error-free.

We may add, modify, suspend, or discontinue features when reasonably necessary to develop, maintain, secure, or operate BeautyDex.

We may also update marketplace rules, fees, or policies from time to time. Where required, we will provide appropriate notice before material changes take effect.

23. Disclaimers

To the extent permitted by law, BeautyDex and the Services are provided on an “as is” and “as available” basis.

BeautyDex does not guarantee:

• The quality or outcome of a beauty service
• That a particular Pro will meet a customer's expectations
• That information supplied by users or Pros will always be accurate
• Continuous or uninterrupted availability of the Services
• That every dispute between users can be resolved by BeautyDex

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

24. Limitation of Liability

To the maximum extent permitted by applicable law, BeautyDex will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to your use of the Services.

Because Pros are independent service providers, BeautyDex is not responsible for injuries, losses, damages, allergic reactions, dissatisfaction, property damage, or other harm caused by a Pro's acts, omissions, products, facilities, or performance of beauty services, except to the extent responsibility cannot legally be excluded.

Nothing in these Terms limits liability that cannot be limited under applicable law.

25. Indemnification

To the extent permitted by law, if you use BeautyDex as a Pro, you agree to indemnify and hold BeautyDex harmless from third-party claims, liabilities, damages, losses, and reasonable expenses arising from your professional services, your violation of applicable law, your User Content, or your material violation of these Terms.

This section does not require indemnification to the extent prohibited by applicable law.

26. Changes to These Terms

We may update these Terms as BeautyDex develops or as our business, legal, or operational practices change.

When we update the Terms, we will revise the “Last Updated” date.

For material changes, we may provide additional notice where required by law.

Your continued use of BeautyDex after updated Terms become effective constitutes acceptance where permitted by law.

27. Governing Law

These Terms are governed by the laws of the State of Louisiana, without regard to conflict-of-law principles, except where applicable consumer protection laws require otherwise.

Any dispute concerning these Terms will be handled in accordance with applicable law.

28. General Terms

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the extent permitted by law.

Our failure to enforce a provision of these Terms does not waive our right to enforce it later.

You may not transfer your rights or obligations under these Terms without our permission where such restriction is permitted by law.

BeautyDex may assign these Terms as part of a merger, acquisition, reorganization, financing, sale of assets, or similar business transaction.

These Terms, together with policies incorporated by reference, constitute the agreement between you and BeautyDex regarding your use of the Services.
